会员注册名、密码
在登记过程中，平台将以系统邮件形式向您提供会员注册名和密码。您须自行负责对您的会员注册名和密码保密，且须对您在会员注册名和密码下发生的所有活动承担责任。您同意：(a) 如发现任何人未经授权使用您的会员注册名或密码，或发生违反保密规定的任何其他情况，您会立即通知奥乐齐（中国）投资有限公司；及 (b) 确保您在每个上网时段结束时，以正确步骤离开网站。
适用条款
1. 通过本平台提供的信息受服务协议、保密协议以及 奥乐齐（中国）投资有限公司与供应商之间的所有其他协议的约束。供应商可以免费使用该平台。 奥乐齐（中国）投资有限公司可以随时撤销其访问权限。
2. 在法律允许的范围内，奥乐齐中国有权处理供应商通过奥乐齐PIM系统提供的信息和/或数据。处理的含义应参照中华人民共和国数据安全法及相关规定。奥乐齐有权委托第三方进行数据的处理。
3. 供应商知晓且同意，奥乐齐中国有权对信息和/或数据进行收集、整理、排序或按照其他方式进行处理。在法律允许的范围内，奥乐齐中国对相关的衍生信息和/或数据以及处理后的信息和/或数据享有知识产权。
4.供应商有义务保证上传的信息和/或数据的合法性，包括但不限于数据来源合法、不涉及侵犯第三方的合法权利等。若供应商提供的信息和/或数据包含个人信息，在向奥乐齐PIM系统提供这些个人信息前，供应商必须确保已经根据相关法律取得相关个人的合法授权、同意。
5.供应商有义务审核并保证上传的信息和/或数据真实、完整、准确。若供应商发现系统中的相关信息有不真实、不完整、不准确，应当在1个工作日内告知奥乐齐中国，并在系统中进行修改。若该等修改涉及产品配方、包装、生产工艺、生产设施或技术标准等的任何变化必须提前获得奥乐齐中国的书面授权和确认。
6.如果奥乐齐中国有理由认为供应商上传的信息和/或数据有误或不完整，有权要求供应商在3个工作日内核实并更正。得到供应商书面（包括不限于微信、电子邮件等）确认后，奥乐齐中国有权在系统里作更正。尽管奥乐齐中国有上述权利，但不视为免除供应商保证信息和/或数据真实、完整、准确的义务。
7. 若供应商上传的信息和/或数据涉及奥乐齐中国的保密信息，供应商应当确保相关人员受保密协议的约束，未经奥乐齐中国同意，供应商或相关人员不得与第三方共享。
8. 基于法律的要求和执法机关的调查令（包括但不限于有关产品的召回、回溯、追溯等原因），奥乐齐有权将相关信息和/或数据提供给有关部门。
9. 奥乐齐中国指示供应商上传相关产品信息和/或数据，不视奥乐齐中国购买相关产品的邀约或承诺。
10. 供应商不得通过系统漏洞、破解系统或其他非法手段获取奥乐齐PIM系统中非己方的信息和/或数据，因为该等信息和/或数据属于奥乐齐中国或第三方的保密信息或商业秘密。
11.若供应商违反本其在本条款下的义务，视为违反了供应商与奥乐齐中国之间的保密协议。若供应商违约导致奥乐齐中国或第三方品牌形象受损、直接或间接损失或其他不利后果的，奥乐齐中国还有权向供应商主张或代位主张相关责任。
12.互联网并非绝对安全的环境，尽管奥乐齐中国采取了合理的技术和物理措施，但防护设施仍有可能遭到遭到破坏，导致信息被非授权访问、公开披露、篡改或毁坏。若奥乐齐PIM系统网络发生信息和/或数据泄露事件，我们将根据适用的法律法规采取措施处理该事件并告知您相关事件的发生及其可能的影响。
13. 尽管奥乐齐中国致力于通过奥乐齐PIM系统处理的信息的真实性、完整性、准确性，但奥乐齐中国无法担保系统中信息完全、实时的真实性、完整性和准确性，亦不因相关信息可能存在的瑕疵承担责任。
14. 奥乐齐中国不就任何涉及本网站之设计、制作或营运之第三方的行为做出任何陈述和保证、给予任何担保或承担任何责任。
15. 奥乐齐中国不能保证网站的可用性、性能、安全性、特性和运作，不能保证网站的各项功能能够无间断或无差错地运作。
16. 本网站上可能含有可连接至超出奥乐齐中国控制范围内的第三方网站的链接。链接出现在网站上不应视为奥乐齐中国对此提供担保，亦不应视为奥乐齐中国为所链接的第三方网站的内容负责。您应当自行承担访问该等第三方网站的风险。在法律允许的最大范围内，奥乐齐中国不就第三方网站上任何材料和信息的准确性、价值、合法性或其他事项做出任何明示或暗示的保证、陈述或担保，但法定不得排除的权利除外。
Terms of Use
Member registration name, Password
During the registration process, the platform will provide you with the member registration name and password in the form of a system email. You are responsible for maintaining the confidentiality of your member registration name and password, and you are responsible for all activities that occur under your member registration name and password. You agree that: (a) you will immediately notifyALDI CHINA, if you discover any unauthorized use of your member registration name or password, or any other circumstances that violate confidentiality requirements; and (b) ensureatthe end of each internet session, you leave the site in thecorrect steps.
Applicable Terms
1. The information provided via this platform is subject to the service agreement, the NDA and all other agreements between ALDI CHINA and the supplier. Using the platform is free of charge for suppliers. The access can be revoked by ALDI CHINA at any time.
2. To the extent permitted by law, ALDI CHINA has the right to process the information and/or data provided by suppliers through the ALDI PIM system. The definition of processing should refer to the Data Security Law of the People's Republic of China and the relevant regulations. ALDI CHINA has the right to entrust third parties to conduct data processing.
3. The supplier is aware and agrees that ALDI CHINA has the right to collect, organize, sort the information and/or data or process them in other ways, and within the scope permitted by law, ALDI CHINA enjoys intellectual property rights on the related derivative information and/or data and the processed information and/or data.
4. The supplier has the obligation to ensure the legitimacy of the provided information and/or data, including but not limited to the legitimacy of the data source and without any violation of the legal rights of the third party. If the information and/or data provided by the supplier contains personal information, the supplier must ensure that it has obtained the legal authorization and consent of relevant individuals according to relevant laws before providing such personal information to the ALDI PIM system.
5. The supplier has the obligation to review and procure the uploaded information and/or data to be true, complete and accurate. If the supplier discovers that any relevant information in the system is not true, complete or accurate, the supplier shall notify ALDI CHINA and amend the information in the system within 1 working day. If such amendment involves any change in formula, packages, production techniques, production equipment, or technical standards, etc., the supplier must prior obtain a written authorization and confirmation from ALDI CHINA.
6. If ALDI CHINA reasonably believes that there is any error or omission in the information and/or data uploaded by the supplier, ALDI CHINA is entitled to request the Supplier to verify and amend it within 3 working days. After confirmation by the supplier in writing (including but not limited to WeChat or e-mail, etc.), ALDI CHINA is entitled to amend the information in the system. Notwithstanding the foregoing, the supplier shall not be exempted from its obligation to procure the information and/or data are true, complete and accurate.
7. If the information and/or data uploaded by the supplier involves any confidential information of ALDI CHINA. The supplier shall make sure that the relevant persons are bound by a non-disclosure agreement. Without the consent of ALDI CHINA, the supplier or the relevant persons shall not share such information with any third parties.
8. In accordance with the laws, as well as the investigation orders of law enforcement authorities (for reasons including but not limited to product recalling, tracing, tracking, etc.), ALDI CHINA is entitled to provide the relevant information and/or data to the corresponding authorities.
9. ALDI CHINA’s instructions on uploading the relevant product information and/or data by the supplier shall not be deemed as its offers or undertakings on purchasing the product.
10. The supplier shall not obtain any information and/or data that does not belong to itself from the ALDI PIM system by taking advantages of system bugs, cracking down the system, or adopting other illegal methods, since such information and/or data are the confidential information or trade secrets of ALDI CHINA or a third party.
11. If the supplier violates its obligations under the terms hereunder, it shall be deemed as in violation of the Non-disclosure Agreement between the supplier and ALDI CHINA. If the supplier’s breach results in the brand image damage, direct or indirect loss or other adverse consequences of ALDI CHINA or the third party, ALDI CHINA has the right or take the subrogation right to claim the relevant responsibilities from the supplier.
12. The Internet is not an absolutely safe environment. Despite of the reasonable technologies and physical measures that have been adopted by ALDI CHINA, the defense equipment may still be damaged, which may therefore leads to unauthorized access, public disclosure, alternation or destruction of information. If any information and/or data leakage event occurs to the ALDI PIM system, we will take measures to handle the event and inform you the occurrence of the event and its possible impact as required by the applicable laws and regulations.
13. Although ALDI CHINA commits to the truthfulness, completeness and accuracy of information and/or data processed through the ALDI PIM system, ALDI CHINA cannot guarantee that all information in the system are true, complete and accurate, and does not bear any liabilities in this regard.
14. ALDI CHINA does not represent or warrant, give any guarantee regarding, or accept any liability for the action of any third party involved in designing, creating, or operating the Website
15. ALDI CHINA does not guarantee the availability, performance, security, characteristics or operation of the Website, nor does it guarantee that the functions of the Website will be uninterrupted or error free.
16. Some links on the Website may lead to the sites that are not under the control of ALDI CHINA. The appearance of a link does not imply ALDI CHINA' endorsement, nor is ALDI CHINA responsible for the contents of any linked site. You shall access them at your own risk. To the full extent permitted by law and subject to any non-excludable rights, ALDI CHINA disclaims all warranties, representations and guarantees express and implied, as to the accuracy, value, legality or otherwise for any materials or information contained on such sites.
